Biography

Jim Pfeffer has more than thirty years of experience providing legal services to clients. He began his career in Kansas City, where, after practicing in the litigation department of a medium-sized law firm, he served for nearly ten years as Assistant General Counsel at Commerce Bancshares, Inc., a bank holding company headquartered in Kansas City. At Commerce, Jim not only gained experience in commercial lending, syndicated lending, construction and real estate lending, workout of problem loans, real estate, and other bank products and services, but he acquired a unique perspective on the provision of legal services from the viewpoint of a client. He routinely managed legal matters being handled by outside law firms for Commerce. 

Upon his return to Omaha and before joining Dvorak Law Group, Jim was a partner at a medium-sized law firm and later was a partner in the Omaha office of a large regional law firm. While practicing in Omaha, Jim has not only continued his representation of financial institutions with respect to commercial lending, syndicated lending, construction and real estate lending, workouts, and contracts, but has expanded his real estate practice and his general corporate practice, including the buying and selling of businesses, business formations, distribution agreements, construction contracts, and general business contracts. He has continued this practice at Dvorak Law Group. Jim has a diverse clientele, ranging from large and small financial institutions to large steel companies to small businesses in many industries.

Commercial Lending

• Represented the lead bank in a $250,000,000 syndicated working capital loan to a large grain company headquartered in Indiana
• Represented the lead bank in a $120,000,000 syndicated working capital loan to a large grain company headquartered in Illinois
• Represented the lead bank in a $90,000,000 syndicated working capital and term loan to a large grain company headquartered in Oklahoma
• Represented the lead bank in syndicated loans totaling over $600,000,000 financing the construction and operation of ethanol plants located in South Dakota, Colorado, Iowa, Indiana, Illinois, and Minnesota
• Represented a bank in connection with a $50,000,000 loan for the construction and permanent financing of a warehouse and office facility in Kansas
• Represented a bank in connection with a $35,000,000 loan financing the construction and permanent financing of auto dealerships located in Nebraska and Iowa
• Represented a regional bank in connection with a revolving credit facility secured by tangible and electronic chattel paper and in connection with inter-creditor agreements among the various lenders to the borrower

Real Estate

• Represented the buyer in connection with the acquisition of industrial property in Nebraska
• Represented the buyer in connection with the purchase of retail locations throughout the Midwest
• Represented the buyer in connection with the purchase of industrial property in Fargo, North Dakota
• Represented the seller in connection with the sale of industrial property in Lincoln, Nebraska
• Represented the landlord in the lease of medical office space to a doctor group

Contracts

• Drafted the design-build general contract and related contracts in connection with a large steel company’s construction of a new facility
• Drafted distribution agreements and manufacturing license agreements on behalf of the manufacturer for the distribution of industrial equipment in North America and the European Union
• Drafted a distribution agreement on behalf of a manufacturer of ingredients contained in prescription medicines
